Terms of Service

These Terms of Service ("Terms") govern your use of the Zemo platform ("we", "us", or "our"), accessible at zemo.cc and via our mobile applications available on Google Play (Android) and the App Store (iOS). By accessing or using Zemo, you agree to be bound by these Terms.

1. Service Description

Zemo is a business operations platform that enables businesses to manage their daily operations, customer interactions, and automation. The platform provides the following capabilities:

  • Inventory & Catalog Management — Products, stock tracking, QR codes and barcodes, categories, and multi-location inventory support
  • Order Management — Order creation, fulfillment workflows, status tracking, charges, taxes, and serial number tracking
  • Contact CRM — Customer profiles, tags, notes, communication history, and AI-powered contact import
  • WhatsApp AI Automation — Customer-facing AI-powered responses via Google Gemini, with Bot Mode (automated replies) and Human Mode (agent takeover) per conversation, connected through the official Meta WhatsApp Business Cloud API
  • Analytics Dashboard — Key performance indicators across inventory, orders, contacts, and conversations
  • Instagram Integration — Instagram messaging and comment management connected to your business account
  • Voice Calling — AI-powered voice calling with handoff to human agents via Twilio infrastructure
  • Calendar & Appointment Booking — Google Calendar integration for scheduling and appointment management
  • Workflow Automation Builder — Visual workflow builder for creating automated business processes and message sequences
  • Document & Product Import — AI-powered extraction and import of products and contacts from documents, invoices, Excel files, and PDFs

The mobile application may request device permissions including camera access (for barcode/QR scanning and product photography) and photo library access (for product image uploads). These permissions are used solely for the stated purposes and can be revoked at any time through your device settings.

2. Account Registration

You must be at least 18 years old to create an account and use Zemo.

To use Zemo, you may register using one of the following methods:

  • Google OAuth — Sign in with your Google account. You are responsible for maintaining the security of your Google account credentials.
  • Apple Sign In — Sign in with your Apple ID (available on iOS). You are responsible for maintaining the security of your Apple ID.
  • Email & Password — Register with your email address and a password, verified via a one-time password (OTP) sent to your email. You are responsible for choosing a strong password and keeping it confidential.

Regardless of your registration method, you are responsible for:

  • All activities that occur under your Zemo account
  • Ensuring your use complies with WhatsApp Business policies and all applicable laws
  • Providing accurate and current business information
  • Notifying us immediately of any unauthorized use of your account

3. Acceptable Use

You agree NOT to use Zemo to:

  • Send spam, unsolicited messages, or bulk promotional content without proper opt-in
  • Violate WhatsApp's Business Policy or Commerce Policy
  • Engage in activities prohibited by Indian law or the laws of your jurisdiction
  • Impersonate another business or individual
  • Transmit malware, harmful code, or illegal content
  • Collect or harvest personal data without consent
  • Use the platform for industries prohibited by Meta (firearms, gambling, adult content, etc.)
  • Upload fraudulent product listings or falsified inventory data
  • Misuse CRM data or customer information for unauthorized purposes
  • Abuse the workflow automation system to send excessive or unwanted communications
  • Attempt to access other users' projects or data

4. WhatsApp API Compliance

You acknowledge that Zemo operates through the WhatsApp Business Cloud API provided by Meta. You agree to comply with:

  • WhatsApp Business Policy
  • WhatsApp Commerce Policy
  • Meta's message template approval requirements
  • Opt-in requirements for business-initiated messages

Violation of Meta's policies may result in suspension of your WhatsApp Business account and/or your Zemo access.

5. AI-Generated Content

When Bot Mode is enabled, responses are generated by AI language models. You acknowledge that:

  • AI responses may occasionally be inaccurate or inappropriate
  • You are ultimately responsible for all messages sent from your WhatsApp Business account, including AI-generated ones
  • You should review and configure your AI assistant's instructions appropriately
  • We are not liable for any consequences of AI-generated messages

6. Billing & Payments

Zemo offers multiple subscription plans with varying feature access and usage limits:

  • Free Tier — A free plan is available with limited features, allowing you to evaluate the platform before committing to a paid subscription.
  • Paid Plans — Paid subscription tiers unlock additional features, higher usage limits, and priority support. Details of current plans and pricing are available on our pricing page.
  • Payment Processing — All payments are securely processed through Razorpay. By subscribing to a paid plan, you agree to Razorpay's terms of service.
  • Billing Cycles & Auto-Renewal — Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Cancellation — You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
  • Subscription Lapse — If your paid subscription expires or is cancelled, your account will be downgraded to the free tier. Your data will be retained, but access to paid features will be restricted until you resubscribe.

7. Data & Privacy

Your use of Zemo is also governed by our Privacy Policy. By using the service, you consent to the data practices described therein.

8. Third-Party Services

Zemo integrates with the following third-party services to provide its functionality:

  • Google — OAuth authentication, Google Cloud Platform hosting, Gemini AI for automated responses, Google Maps for address verification, and Google Calendar for appointment scheduling
  • Apple — Sign In with Apple for authentication on iOS devices
  • Meta / WhatsApp — WhatsApp Business Cloud API for messaging and Instagram integration
  • Twilio — Voice calling infrastructure and media streaming
  • Razorpay — Payment processing for subscriptions and billing
  • Zoho — Email delivery services

Your use of these services is also governed by their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third-party providers.

9. Mobile Application & Permissions

The Zemo mobile application is available on Google Play (Android) and the App Store (iOS). By downloading and using the mobile app, you agree to these Terms in addition to the terms of the respective app store.

The mobile application may request the following device permissions:

  • Camera — Used for barcode/QR code scanning and product photography
  • Photo Library — Used for uploading product images from your device

These permissions are used solely for the stated purposes and can be revoked at any time through your device settings. The app will continue to function with reduced functionality if permissions are denied.

10. Intellectual Property

Zemo, its design, code, and branding are owned by Zemo. You retain ownership of your business data and content. You grant us a limited license to process your data solely for the purpose of providing the Zemo service.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Temporarily suspend service for emergency maintenance
  • Modify or discontinue features with reasonable notice

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Zemo is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the preceding 12 months
  • We are not responsible for actions taken by WhatsApp/Meta regarding your Business account

13. Indemnification

You agree to indemnify and hold harmless Zemo, its operators, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access if you violate these Terms.

You may delete your account at any time through the mobile app (Settings > Delete Account) or by contacting support@zemo.cc. Upon deletion, your credentials and project memberships are removed. Shared project data remains accessible to other members.

Upon termination or account deletion:

  • Your access to Zemo will be revoked
  • You may request export of your data within 30 days of account deletion by contacting support@zemo.cc. Exportable data includes your contacts, products, orders, and conversation history. Data is provided in standard formats (CSV or JSON).
  • We will delete your data within 90 days unless legally required to retain it

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Salem, Tamil Nadu, India.

Before pursuing legal action, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of Zemo after changes constitutes acceptance. Significant changes will be communicated via email or in-app notification.
